Welcome to AI Memory Guard. By accessing or using our Chrome extension, website, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features, you may need to create an account. You agree to:

• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3. Description of Service

AI Memory Guard is a Chrome browser extension that captures, stores, and syncs information from your conversations with AI platforms. The Service includes:

• Automatic memory capture from supported AI platforms
• Memory storage and synchronization
• Search and retrieval of stored memories
• Thread health monitoring (Pro and above)
• Fact checking capabilities (Pro+ and above)

4. Subscription Plans and Payment

The Service offers Free, Pro, and Pro+ tiers. Paid subscriptions are billed monthly or annually, as selected. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Authorize recurring charges to your payment method
• Understand that fees are non-refundable except as required by law

We reserve the right to modify pricing with 30 days' notice to existing subscribers. Annual subscriptions receive a 20% discount off the monthly rate.

5. Your Data and Content

You retain ownership of all data and content you store through the Service ("Your Content"). By using the Service, you grant us a limited license to process, store, and transmit Your Content solely to provide and improve the Service.

You are solely responsible for Your Content and ensuring it does not violate any applicable laws or third-party rights.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to reverse-engineer, decompile, or disassemble the extension
• Interfere with or disrupt the Service or its servers
• Use automated means to access the Service beyond its intended functionality
• Share your account credentials with third parties
• Use the Service to store or transmit malicious code
• Circumvent any usage limits associated with your plan

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by AI Memory Guard and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

8. Third-Party Platforms

The Service integrates with third-party AI platforms (ChatGPT, Claude, Gemini, Perplexity, Grok). We are not affiliated with these platforms and are not responsible for their content, policies, or availability. Your use of these platforms is subject to their respective terms of service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE THE ACCURACY OF ANY MEMORY DATA CAPTURED OR ANY FACT-CHECKING RESULTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI MEMORY GUARD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless AI Memory Guard from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your account at any time through the extension settings. Upon termination:

• Your right to use the Service ceases immediately
• You may request export of your data within 30 days
• We will delete your data in accordance with our Privacy Policy

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
